Coulter Innovations Ltd – Terms and Conditions (Trading as JC3D Design)

1. Introduction

These Terms and Conditions govern all transactions between Coulter Innovations Ltd (trading as JC3D Design) and its clients. This document constitutes the entire agreement between Coulter Innovations Ltd and the client, superseding any prior agreements, communications, or understandings. By placing an order with Coulter Innovations Ltd, you confirm that you have read, understood, and agree to be bound by these terms. These Terms and Conditions apply to all clients, whether based in the UK or internationally, unless otherwise stated.

2. Services Provided

Coulter Innovations Ltd offers the following services:

  • Consultation: Discuss client needs, material selection, and part requirements.
  • Design: Create 3D models unless the client provides their own design files.
  • 3D Printing: Print parts in the material chosen by the client.
  • Finishing: Subcontracted services, such as sanding and painting, may be performed by trusted external providers.
  • Delivery: Parts are delivered either by Coulter Innovations Ltd or via a third-party courier (e.g., DPD).

3. Quotations and Pricing

  • All quotations are valid for 30 days, unless otherwise specified in writing.
  • Prices are subject to change if:
    • The client requests design modifications after the quotation is issued.
    • Material costs increase by more than 10%. Any such increase will be communicated to the client promptly.
  • Full payment is required upfront unless explicitly agreed otherwise in writing.
  • Payments are accepted via bank transfer only.
  • In the event of a cancellation by the client, refunds will only be provided at Coulter Innovations Ltd’s discretion based on the stage of work completed. A reasonable deduction for incurred costs may apply.

4. Client Responsibilities

  • Clients must provide design files in .STEP or .STL format where applicable. Failure to provide the required file format or accurate specifications may result in additional costs or delays in the production process. Coulter Innovations Ltd will not be held responsible for any timeline adjustments or quality issues arising from such failures.
  • If Coulter Innovations Ltd designs the part, the client is responsible for providing accurate measurements and written approval before printing commences.
  • Clients warrant that any design files provided do not infringe on third-party intellectual property rights. The client assumes all liability for such claims.
  • Coulter Innovations Ltd takes no responsibility for defects, inaccuracies, or functionality issues in client-provided designs. Assistance with correcting faulty files may be offered at the company’s discretion, but print results cannot be guaranteed.

5. Delivery and Lead Times

  • Estimated lead times are provided at the time of quotation but are subject to change due to unforeseen factors, such as supply chain disruptions, equipment failure, or extreme weather conditions. Such factors may include, but are not limited to, governmental restrictions, natural disasters, or third-party delays beyond the company’s control. If delays exceed 10% of the agreed timeline, clients may opt for a partial refund or alternative arrangements as mutually agreed. Clients will be notified promptly of any delays.
  • Coulter Innovations Ltd retains ownership of all products until full payment is received.
  • In the event of significant delays exceeding the agreed timeline, clients may:
    • Opt for a partial refund (proportional to the delay).
    • Request expedited shipping at Coulter Innovations Ltd’s expense.
  • Coulter Innovations Ltd will work with the client and courier to resolve any issues with lost or damaged deliveries. Liability is limited to the cost of the product unless otherwise agreed. This limitation excludes cases of gross negligence, breach of contract, or any liability that cannot be excluded under UK law. Coulter Innovations Ltd shall not be liable for any indirect, incidental, or consequential damages arising from the use or misuse of its products or services. Liability is strictly limited to the scope defined in these terms, except where statutory laws override. This limitation does not apply in cases of gross negligence or breach of contract, where liability may be subject to statutory provisions under UK law.

6. Quality Control, Defects, and Liability

  • No warranty or guarantee is provided on printed parts unless otherwise stated in writing. Parts are provided “as is,” and any guarantees are limited to those explicitly detailed in a separate written agreement.
  • Reported defects will be assessed to determine if they resulted from printing errors or design file issues. Coulter Innovations Ltd’s decision on the cause of the defect will be final, but clients may request an independent third-party quality assessment at their own expense if they disagree with the outcome.
  • Replacements may be offered at Coulter Innovations Ltd’s discretion.
  • Coulter Innovations Ltd is not liable for defects in subcontracted work (e.g., sanding, painting). However, Coulter Innovations Ltd will assist in mediating disputes with subcontractors if issues are reported within 7 days of receipt. Subcontractors are selected through due diligence, and Coulter Innovations Ltd’s liability is limited to facilitation of communication between the client and the subcontractor.
  • Coulter Innovations Ltd will provide a description of acceptable quality standards for printed parts upon request.

7. Intellectual Property (IP) and Confidentiality

  • All designs created by Coulter Innovations Ltd remain the intellectual property of Coulter Innovations Ltd unless otherwise agreed in writing.
  • Clients may use or modify Coulter Innovations Ltd’s designs only with prior written consent.
  • Coulter Innovations Ltd does not claim any rights over client-provided designs.
  • Written consent will be sought from clients before their designs are used for promotional purposes.
  • Client data is stored securely in compliance with GDPR regulations. Design files are retained for one year unless Coulter Innovations Ltd created the design, in which case data is stored indefinitely. Clients may request deletion of their data at any time.

8. Cancellations, Refunds, and Order Modifications

  • Cancellations and refunds are not permitted after production has commenced unless Coulter Innovations Ltd is unable to fulfil the order.
  • If a client requests modifications to an approved design, additional charges may apply, and lead times may be adjusted accordingly.
  • In cases where Coulter Innovations Ltd cancels an order due to unforeseen circumstances, a full refund will be issued.

9. Dispute Resolution and Legal Jurisdiction

  • Coulter Innovations Ltd aims to resolve disputes informally wherever possible. Clients are encouraged to raise concerns promptly to facilitate resolution.
  • If a resolution cannot be reached, both parties agree to engage in mediation before pursuing legal action.
  • These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. For international clients, any disputes will still fall under the exclusive jurisdiction of the courts of England and Wales unless otherwise agreed in writing. UK law will govern all aspects of the agreement, regardless of the client’s location.

10. Amendments

  • Coulter Innovations Ltd reserves the right to amend these Terms and Conditions at any time. If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Failure by Coulter Innovations Ltd to enforce any part of these Terms and Conditions shall not constitute a waiver of its right to enforce that part or any other provision in the future. Clients will be notified of updates via email or postal service, which will take effect 30 days after notification. Clients have the right to object to amendments within this timeframe; otherwise, continued engagement with Coulter Innovations Ltd constitutes acceptance of the updated terms. For significant changes, clients may be required to provide explicit written acknowledgment of the amendments.
